Welcome to DIYKB. These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and DIYKB, LLC (“DIYKB,” “we,” “us,” or “our”), a California limited liability company, governing your access to and use of the website located at diykbdesign.com, including all related tools, features, content, and services (collectively, the “Platform”).

BY CREATING AN ACCOUNT OR USING THE PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE PLATFORM.

1. Eligibility

You must be at least 16 years of age to use the Platform. By using the Platform, you represent and warrant that you are at least 16 years old and have the legal capacity to enter into these Terms. If you are using the Platform on behalf of a business or other legal entity, you represent that you have authority to bind that entity to these Terms.

2. Description of Services

DIYKB provides the following services:

AI-Powered Visualization: users upload photographs of interior or exterior spaces and select design materials; our AI generates photorealistic visualizations of potential renovations.
Community Feed: a social gallery where users may share, view, like, and bookmark generated designs.
Contractor Matching: a platform connecting homeowners with vetted contractors and showrooms for project execution, including lead generation and quote requests.
Design Tools: material selection interfaces, color pickers, and other tools to customize design preferences.

The Platform is currently available to users in the United States, with initial operations focused in California. We may expand or restrict geographic availability at our discretion.

3. Account Registration & Security

You must create an account to access certain features. You agree to provide accurate, current, and complete information during registration.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You agree to notify us immediately at security@diykbdesign.com if you suspect unauthorized access to your account.
We reserve the right to suspend or terminate accounts that contain false or misleading information.
You may not create multiple accounts for the purpose of circumventing rate limits, bans, or other restrictions.

4. Acceptable Use

You agree not to:

Upload content you do not have the right to use, including copyrighted photographs belonging to others.
Upload images containing nudity, violence, hate speech, or other content that is illegal, offensive, or harmful.
Use the Platform for any unlawful purpose or in violation of any applicable law or regulation.
Attempt to reverse-engineer, decompile, or extract source code from the Platform or its AI models.
Circumvent, disable, or interfere with security features, rate limits, or access restrictions.
Use automated scripts, bots, or scrapers to access the Platform without our prior written consent.
Impersonate any person or entity or misrepresent your affiliation with any person or entity.
Interfere with or disrupt the Platform’s infrastructure, servers, or networks.
Harvest, collect, or store personal data of other users without their consent.
Use generated visualizations to mislead real estate buyers, insurance providers, or any third party about the actual condition of a property.

We reserve the right to investigate and take appropriate action against anyone who violates these provisions, including removing content, suspending accounts, and reporting to law enforcement.

5. Intellectual Property

5.1 Platform Ownership

The Platform, including its design, code, algorithms, AI models, branding, trademarks, and all proprietary content, is owned by DIYKB, LLC and is protected by United States and international intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Platform except the limited license to use it as described herein.

5.2 Your Content

You retain all ownership rights to photographs and other content you upload (“User Content”). By uploading User Content, you grant DIYKB a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, process, adapt, and display your User Content solely as necessary to provide and improve the Platform. This license terminates when you delete the User Content or your account, except for copies made for backup or legal compliance purposes.

5.3 Generated Content

AI-generated visualizations (“Generated Content”) are created using your inputs and our proprietary technology. You are granted a non-exclusive, worldwide license to use Generated Content for personal and internal business purposes, including sharing on the community feed, presenting to contractors, and planning renovations. You may not sell, sublicense, or commercially distribute Generated Content as standalone products (e.g., as stock images or NFTs) without our prior written consent.

5.4 Community Content

By sharing designs on the community feed, you grant other users a limited, non-exclusive license to view your shared content and to use the “Apply to My Space” feature to apply your material selections to their own spaces. This does not transfer ownership of your content.

5.5 Feedback

If you provide suggestions, ideas, or feedback about the Platform, you grant us an unrestricted, perpetual, irrevocable license to use that feedback for any purpose without compensation to you.

6. Contractor Marketplace

6.1 Independent Third Parties

Contractors, showrooms, and other professionals listed on the Platform (“Partners”) are independent third parties, not employees, agents, or affiliates of DIYKB. We vet our Partners through an industry-informed selection process, but we do not guarantee, endorse, or warrant the quality, safety, legality, or timeliness of any work performed by Partners.

6.2 No Agency Relationship

DIYKB acts solely as an intermediary platform. We are not a party to any agreement between you and a Partner. Any contract, quote, or engagement is directly between you and the Partner. You are responsible for conducting your own due diligence, verifying licenses and insurance, and negotiating terms directly with Partners.

6.3 Licensing & Insurance

While DIYKB evaluates Partners through an industry-informed vetting process, we do not independently verify state contractor licenses, insurance coverage, bonding status, or regulatory compliance. In California, contractors performing work valued at $500 or more (including labor and materials) are generally required to hold a valid license from the Contractors State License Board (CSLB). Before engaging any Partner, you should independently verify their license status at cslb.ca.gov, confirm current insurance and bonding, and check for any disciplinary actions. DIYKB assumes no liability for a Partner’s licensing status or regulatory compliance.

6.4 Disputes with Partners

Any dispute arising from work performed by a Partner must be resolved directly between you and the Partner. DIYKB is not responsible for mediating disputes, issuing refunds for Partner services, or compensating for any damages arising from Partner work. We may, at our sole discretion, assist with communication but are under no obligation to do so.

7. Fees & Payment

The core design visualization tool is currently offered free of charge. We reserve the right to introduce paid features, subscription plans, or usage-based fees in the future. If we do, we will provide at least 30 days’ notice and clearly disclose pricing before any charges apply. No charges will be incurred without your affirmative consent.

8. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, DIYKB makes no representations or warranties that:

AI-generated visualizations will accurately represent actual renovation outcomes, final material appearances, structural feasibility, or real-world costs.
The Platform will be uninterrupted, timely, secure, or error-free.
Any Partner will meet your expectations in quality, workmanship, timeline, or price.
Material selections shown in visualizations will be available from any particular supplier or at any particular price.
Color accuracy in visualizations will match physical materials, as display characteristics vary across devices.

Visualizations are for inspirational and planning purposes only. They should not be relied upon as construction documents, engineering specifications, or purchasing commitments. Always consult qualified professionals before making renovation decisions.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DIYKB, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE PLATFORM.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO DIYKB IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless DIYKB, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; (d) any User Content you upload; or (e) any dispute between you and a Partner.

11. Termination

11.1 By You

You may terminate your account at any time through your account settings or by emailing support@diykbdesign.com. Upon termination, your right to use the Platform ceases immediately. We will delete your personal data in accordance with our Privacy Policy.

11.2 By Us

We may suspend or terminate your account at any time, with or without cause, and with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or abusive behavior, or if required by law. We will make reasonable efforts to provide notice when feasible.

11.3 Effect of Termination

Upon termination, Sections 5 (Intellectual Property), 8 (Disclaimers), 9 (Limitation of Liability), 10 (Indemnification), 13 (Dispute Resolution), and 14 (General Provisions) shall survive.

12. Modifications to Terms & Platform

12.1 Changes to Terms

We may revise these Terms at any time. When we make material changes, we will provide at least 30 days’ advance notice by email or prominent notice on the Platform. Your continued use of the Platform after the effective date of revised Terms constitutes acceptance. If you do not agree to the revised Terms, you must stop using the Platform and may delete your account.

12.2 Changes to Platform

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation.

13. Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law principles.

13.2 Informal Resolution

Before filing any formal proceeding, you agree to first contact us at legal@diykbdesign.com and attempt to resolve the dispute informally for at least 30 days.

13.3 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures. The arbitration shall be conducted in California by a single arbitrator. The arbitrator’s decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

13.4 Class Action Waiver

YOU AND DIYKB AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of representative or class proceeding.

13.5 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights. Claims within the jurisdiction of small claims court may also be brought there.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and DIYKB regarding the Platform and supersede all prior agreements, understandings, and communications.

14.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by DIYKB.

14.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

14.5 Force Majeure

DIYKB shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, pandemics, government actions, war, terrorism, labor disputes, internet or telecommunications failures, or third-party service outages.

14.6 Notices

Notices to you may be sent to the email address associated with your account. Notices to DIYKB should be sent to legal@diykbdesign.com. Notice is deemed given 24 hours after email is sent.
